Client Services Agreement & Booking Terms
Clear expectations for working together.
Effective date: November 4, 2026 | Provider: Thistle Ventures LLC, doing business as Thistle & Co Business Advisory (“Thistle & Co”).
1. What we provide
Thistle & Co provides independent, practical business advisory conversations and related written materials. Our role is to offer perspective, challenge assumptions and help clients evaluate decisions. You retain responsibility for decisions, implementation and business results.
2. Services and prices
The Sounding Board — $195 (one-time). One 60-minute virtual business advisory session and a personalised written recap of key observations, recommendations and next steps, normally emailed within 48 hours after the session.
Advisory Partner — $495 per month. Two 60-minute virtual advisory sessions per monthly billing period plus brief email support related to the engagement. This is a month-to-month service with no minimum commitment. Email support does not include unlimited consulting, document preparation or urgent/on-call support. Additional work requires separate agreement.
Business Strategy Review — $995 (one-time). An agreed initial business assessment, a strategy session and a written action plan. The specific information to be reviewed, deliverables and delivery timeline will be confirmed in writing before payment or commencement.
3. Payment and renewals
Prices are in US dollars. Fees are due in advance unless expressly agreed otherwise in writing. Payment may be collected through approved methods such as Stripe or Venmo Business. Advisory Partner renews monthly at $495 until cancelled. The client will be shown the billing amount, renewal schedule and how to cancel before authorising recurring charges. Any applicable taxes will be disclosed at checkout.
4. The Sounding Board: rescheduling, cancellation and credit
- Rescheduling: One complimentary reschedule with at least 24 hours’ notice, subject to availability. Further changes may be handled at Thistle & Co’s discretion.
- Client cancellation with at least 24 hours’ notice: The payment is retained as a credit for an equivalent service, usable within 90 days of the original appointment date, rather than automatically refunded.
- Less than 24 hours’ notice or no-show: The session fee may be forfeited and no credit is normally provided.
- If Thistle & Co cancels: You may choose to reschedule or receive a full refund for the affected session.
- Exceptional circumstances: We may offer additional flexibility or a refund at our discretion.
These policies are subject to any mandatory cancellation, refund or consumer rights that apply. To request a change, use the link in your booking confirmation or email nick@thistleandcoadvisory.com.
5. Advisory Partner: cancellation and unused sessions
You may cancel the monthly arrangement at any time before your next renewal, using the cancellation method supplied at signup or by emailing nick@thistleandcoadvisory.com. Cancellation prevents future renewals and your paid service remains available through the end of the current billing period. Unused sessions do not roll over and monthly fees are not prorated or routinely refunded, except where required by law or agreed in writing. Sessions should be scheduled within their corresponding billing period. The 24-hour rescheduling expectation also applies to monthly sessions.
6. Business Strategy Review: scope and changes
Before the review begins, the parties will confirm its scope, requested materials, timing and deliverables in writing. Requests outside the agreed scope may require a separate fee. Cancellation or refund arrangements specific to this project will be confirmed in the project agreement before payment.
7. Your responsibilities
You agree to provide information you are authorised to share and to participate in scheduled sessions. We may rely on information you provide without independently auditing it. You are responsible for evaluating advice, obtaining specialist input where needed and deciding whether to act.
8. Confidentiality
Each party will use reasonable care to protect the other party’s non-public business information, using it only to provide or receive the agreed services except as authorised or legally required. This does not cover information already public, independently developed or lawfully obtained from another source. Please do not share sensitive personal data or third-party confidential information unless necessary and authorised.
9. Professional boundaries and outcomes
Our services are general business advisory, not legal, tax, accounting, investment or other regulated professional advice. We do not guarantee revenue, profit, financing, operational improvements or other particular outcomes. Consult a qualified professional for specialist matters.
10. Materials and intellectual property
You may use final recaps and action plans delivered to you for your own internal business purposes. Thistle & Co retains ownership of its pre-existing templates, methods and frameworks. Neither party may use the other’s name or branding in public marketing without permission.
11. Liability
To the extent permitted by applicable law, Thistle & Co’s aggregate liability arising from a particular engagement will not exceed the fees paid for the services giving rise to the claim. This does not limit liability where limitation is prohibited by law.
12. Governing law and changes
These terms are governed by Colorado law, except where mandatory laws provide otherwise. Material changes to these terms will apply prospectively; clients will be informed of changes affecting ongoing subscriptions before they take effect, as required by law.
13. Contact and acceptance
Questions or requests: nick@thistleandcoadvisory.com. By selecting the required agreement checkbox at booking or otherwise expressly agreeing electronically, you acknowledge having had the opportunity to read these terms and agree to those applicable to your selected service.
For bespoke projects, a separately signed scope or agreement may supplement or override these general terms where expressly stated. This document is a draft for business use and should receive legal review before relying on it with customers.
